These terms and conditions shall govern the use by members of staff at the undersigned school (the 'School') of Primary School Science Limited website (the "Website").

• The Website is available via the Internet from www.primaryschoolscience.com For security purposes, access to the Website is protected by a regime of user names and passwords.  To access the Website you will be asked to choose a password, which should be used each time a member of the teaching staff within the School accesses the Website. 
• This Agreement permits access via one password to one user at a time.  If you would like to enable simultaneous use of the Website by more than one user within the School then an additional account with an additional password can be set up (an 'Additional Account').
• You agree that you will not disclose the password, or passwords, issued to you, to any person who is not authorised to use the Website.
• SUBSCRIPTION FEE, ADDITIONAL FEES AND RENEWAL FEES
• The annual subscription fee is £49 per school or £25 for home use (the 'Subscription Fee').
• On receipt by us of the Subscription fee, and your password, your account will be activated.
• On the anniversary of this agreement your Subscription shall automatically renew provided that within thirty days of the anniversary we receive from you the renewal fee. (To be determined)
• There will be no refund of Subscription Fees or Additional Fees if you terminate this Agreement during a subscription year.

You will use the Website solely as a teaching aid within the School and you shall not use the data contained in the Website for any other purposes without our prior written consent.  You shall not sell, lease, transmit, re-distribute or provide, directly or indirectly, the whole or any part of the Website to any person outside the School.

• CONFIDENTIALITY

All data contained in the Website is confidential and shall not be disclosed to any third party by you, your colleagues, your employees or your pupils without our prior written consent.  You shall make every effort to prevent the unauthorised use or disclosure of all or any part of the Website.

• PROPRIETARY RIGHTS

You acknowledge that the Website and the data contained in the Website is our exclusive and proprietary property and you agree to use your best endeavours to protect our proprietary rights in it.

• LIABILITY
• We have taken every care in the preparation of the content of the Website, however we cannot guarantee uninterrupted and totally reliable access to the Website, and so therefore cannot guarantee that the information will always be completely up to date and free of mistakes.  To the extent permitted by applicable law, we disclaim all warranties, express or implied, as to the accuracy of the information contained in any of the materials on the Website and will accept no liability for any loss or damage arising as a result of problems with access.
• We shall not be liable to any person for any loss or damage, which may arise from the use of any of the information contained in any of the materials on this Website.
• The exclusions of liability set out in these terms and conditions shall not apply to any damages arising from death or personal injury caused by our negligence, or fraud.
• TERMINATION
• Failure to pay Renewal Fees within 30 days of the anniversary of this Agreement shall result in the immediate withdrawal of access to the Website, and this Agreement shall automatically terminate.
• If  we discover unauthorised use of the Website:
• either by you or a third party who we have reason to believe has gained access as a result of your breach of clause 1.3; or,
• as a result of your breach of clause 3,

your access shall be immediately withdrawn, and this Agreement shall automatically terminate.

• On termination for breach in accordance with clause 7.2, you shall destroy all paper and electronic copies of the whole or any part of the Website in your or your employees' possession and certify that you have done so.
• JURISDICTION AND GOVERNING LAW

English law governs this Agreement and all matters arising from or connected with them.  The courts of England have exclusive jurisdiction to settle any dispute arising from or connected with this Agreement.  This clause is for our benefit only and as a result does not prevent us from taking proceedings relating to a dispute in any other courts with jurisdiction.

• GENERAL
• We reserve the right to alter the terms and conditions of this Agreement from time to time by posting new terms and conditions on the Website.
• If any provision of these terms and conditions shall be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
